These Terms & Conditions govern your access to and use of our website, AI image generation tools, AI video generation tools, related APIs and services (collectively, the "Services"). By creating an account or using the Services, you agree to be bound by these Terms.

1. Description of Services

BaoY provides artificial intelligence tools that generate, edit and animate visual content, including:

• AI Image Generation — creating images from text prompts;
• AI Image Editing — background removal, object erasing, upscaling and retouching;
• AI Video Generation — creating videos from scripts or prompts;
• Image-to-Video — animating still images into video clips;
• AI Avatar Studio — generating talking-head avatar videos;
• API Access — programmatic integration of the above capabilities.

2. Eligibility & Accounts

You must be at least 18 years old to use the Services. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. One person or entity may not maintain more than one free account.

3. Acceptable Use

You agree NOT to use the Services to create content that:

• infringes the intellectual property, privacy or publicity rights of others;
• depicts minors in any unlawful or sexually suggestive manner;
• constitutes defamation, harassment, hate speech or incitement to violence;
• creates misleading deepfakes intended to deceive, defraud or impersonate real individuals without consent;
• violates applicable laws or regulations in your jurisdiction.

We may suspend or terminate accounts that violate these rules, and reserve the right to report illegal content to the appropriate authorities.

4. Content Ownership & License

As between you and BaoY, you own the content you generate through the Services, subject to the license rights granted to us to operate the Services. On paid plans, you receive full commercial usage rights for generated content. On free plans, content is licensed for personal, non-commercial use only. We may display anonymized examples of generated content for service improvement unless you opt out in your account settings.

5. Credits, Plans & Billing

Generation capacity is provided via credits or subscription plans. Credits are consumed per generation and do not roll over unless stated otherwise. Subscriptions renew automatically until cancelled. Fees are non-refundable except where required by law or expressly stated. We may adjust pricing with at least 30 days' prior notice.

6. Service Availability

We strive for high availability but do not guarantee uninterrupted access. Maintenance, model upgrades or events beyond our control may cause temporary interruptions. We are not liable for losses arising from such interruptions.

7. Intellectual Property of BaoY

The BaoY name, logo, website design, software and models are owned by HONG KONG BAOYI TECHNOLOGY CO., LIMITED or its licensors and are protected by applicable intellectual property laws. You may not copy, reverse engineer or create derivative works of the Services without written permission.

8. Disclaimer of Warranties

The Services are provided "as is" and "as available" without warranties of any kind, express or implied. AI-generated content may contain inaccuracies or artifacts; you are solely responsible for reviewing output before use.

9. Limitation of Liability

To the maximum extent permitted by law, HONG KONG BAOYI TECHNOLOGY CO., LIMITED shall not be liable for any indirect, incidental, special or consequential damages, and our total aggregate liability shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

10. Changes to These Terms

We may update these Terms from time to time. Material changes will be announced on the website or by email. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
